Curtis Mallet-Prevost Colt & Mosle supported MPS Capital Services in the granting of the loan.

ReAl Srl - a corporate joint venture between Alia Servizi Ambientali SpA and ReLife SpA - has completed the acquisition of the entire capital of Metalcarta Srl, a company operating in the waste paper recycling sector and others recyclable waste.

ReAl is a company dedicated to the enhancement of paper and cardboard from separate waste collection, which implements a technologically advanced recycling chain project: a latest generation recycling hub geared to the needs of paper mills, box manufacturers, users of the territory and the final product.

An interview with Salvatore Paratore and Neri Quentin at Paratore Vannini & Partners

Please tell me about your involvement in the deal.

Paratore Vannini & Partners has been working as legal advisor to the seller by giving full assistance in all phases of the deal and during the drawing up of the contract.

Why is this a good deal for all involved?

Alia is the Environmental Services Administrator of many big and small towns in the provinces of Firenze, Pistoia and Prato reaching a population of more than 1.5 million people.

Relife is one of the main private Italian players in picking, recycling, draining and reselling special non-dangerous waste materials.

Metalcarta is a long-time leader in the handling of waste materials especially paper, carton, plastic, wood, metals and other non-dangerous materials. This operation managed to reach an ambitious project of a growing modern recycling group which, thanks to the latest technology, can improve its presence on the market/territory and intercept the growing demand of these services.

Nowadays, in order to give full assistance to the Companies, in their planning and execution of the special finance and engineering project, M&A or internationalisation, integration of specific sectional capacities is an important factor to consider.

What challenges arose? How did you navigate them?

Paratore Vannini & Partners, for over 20 years, has been assisting clients in tax planning and M&A operations capable of maximizing the results of their core business. PVP, in its ethical motivation, for a long-time has been vocal in their view that the environmental sector is one of the most interesting specializations given the growing demand within the green economy.

The Metalcarta operation is one of the many M&A operations that the PVP has worked on in recent years in a growing business. We have also worked in areas such as fashion, food&beverage and ICT. But most important is that when legal advice is required on the environmental side, beside the usual problems faced in any M&A operation (especially corporate and tax issues), it is crucial to look at certain technical, scientific and administrative matters that not only require deep knowledge of the specific sector but often require further investigations beyond the legal expertise.

Nowadays, in order to give full assistance to the Companies, in their planning and execution of the special finance and engineering project, M&A or internationalisation, integration of specific sectional capacities is an important factor to consider.

For this reason, Paratore Vannini & Partners, since its establishment, has focussed on specialisations, such as corporate law and tax law, having longstanding experience and obtaining prestigious awards. We have gained positions in many other specializations by always investing in new areas in order to help the clients to win the challenges on the market giving them full assistance and offering them the best legal teams to help them have prompt answers to their demands.
