Cardiff-based communications agency Orchard Media and Events Group has officially transitioned to an employee-owned model after establishing an employee ownership trust (EOT). This move places Orchard among a select group of Welsh companies following the employee ownership path taken by brands like John Lewis Partnership, Aardman Animations, and Riverford Organics.
Founded 14 years ago, Orchard Media and Events has built a solid reputation for delivering services across activations, content creation, communications, strategy, and creative solutions. With the original founders, Al Wilson, Matt Wordley, and Pablo Janczur, stepping back, ownership has been transferred to the company’s 64 employees, ensuring Orchard's independence and securing its future under employee control. The agency, which generates a £15 million annual turnover, sees this change as an investment in its workforce and a means to align company success directly with the team’s dedication.
The EOT transition brings a refreshed senior leadership team, with Jim Carpenter and Kerry McDonald stepping into the roles of co-chief executives, while Phil Morgan has been appointed chief finance and operating officer. Carpenter remarked on the transition, expressing confidence that the EOT will reward the team’s commitment and allow them to shape Orchard's future direction, reflecting a company ethos that emphasizes shared value and collaborative success.
The transition to an EOT was facilitated by legal and advisory support from Andrew Evans, a Cardiff-based partner at Geldards LLP with extensive EOT expertise, alongside contributions from Cwmpas corporate advisor Paul Cantrill, and accounting firms Azets and Specialist Accounting Solutions.
Orchard’s move marks a significant milestone in Welsh business, setting an example for sustainable growth and shared ownership within the region.
"Specialist Accounting Solutions Ltd provided an independent business valuation to support Orchard Media & Events Group Limited’s transition to employee ownership. Accurate valuations are essential for a smooth EOT transition, ensuring fairness and clarity for all parties involved. Sean Hackemann (Director) led his team through this important part of the process. It was a pleasure working with Geldards LLP and Orchard on this EOT project, and we wish Orchard Media & Events Group continued success on their EOT journey.”
