Levi & Korsinsky Launch Lawsuit Against Venture Global After IPO.
National securities law firm Levi & Korsinsky, LLP has filed a class action lawsuit on behalf of investors in Venture Global Inc. (NYSE: VG). The suit centers on allegations that the company misled investors during its January 2025 initial public offering, concealing critical operational risks tied to its ability to fulfill long-term liquefied natural gas (LNG) supply contracts.
Venture Global launched its IPO with much anticipation, offering 70 million shares at $24.00 each and raising approximately $1.68 billion. Just days after its market debut, however, serious concerns surfaced.
On February 5, 2025, TotalEnergies, a leading global energy firm, publicly rejected a long-term supply offer from Venture Global.
In a rare and pointed statement, the company’s CEO explained that the decision was based not on price or logistics—but a fundamental lack of trust in Venture Global’s business practices.
This rejection, coupled with ongoing disputes involving other major clients such as BP and Shell, has placed the company's credibility—and its stock—in question.
The lawsuit filed by Levi & Korsinsky contends that Venture Global failed to disclose these tensions and potential contract delays in its registration statement. These omissions, the plaintiffs argue, may have materially misrepresented the company’s business outlook, in violation of federal securities laws.
At the heart of the case is a question of reliability. Venture Global is currently developing five LNG export and liquefaction projects in the U.S., all of which rely heavily on securing—and maintaining—long-term customer agreements.
The breakdown in trust with significant partners raises red flags about the company’s capacity to meet its obligations and achieve its ambitious growth projections.
